NURSING LEADERSHIP COUNCIL
BYLAWS

ARTICLE I
NAME

          The name of this organization shall be the Nursing Leadership Council of the Healthcare Association of Southern California hereafter referred to as (NLC-HASC).

ARTICLE II
PURPOSE

The purpose of the organization shall be to advance the development of effective nursing administration in the health care member organizations of HASC by:

1.    

Providing a medium for the interchange of ideas and dissemination of information and materials relative to nursing administration.

2.    

Providing an organization within the health care field from which nurse executives may speak on nursing and related health care issues, especially as they relate to issues in Southern California.

3.    

Providing consultation and direction to HASC, California Hospital Association (CHA) and other organizations on all matters relating to nursing and health care issues, especially as they relate to issues in Southern California.

4.    

Identifying and defining health care issues and establishing position statements and action plans on these issues.

5.    

Promoting educational programs and activities to strengthen nursing leadership.

6.    

Providing programs for all levels of nursing leadership for the interchange of ideas to enhance personal and professional growth.

7.    

Collaborating with Association of California Nurse Leaders (ACNL) and the American Organization of Nurse Executives (AONE) on state/nationwide nursing/health care issues.

8.    

Fostering and enhancing the professional image and practice of nursing.

9.    

Integrating and collaborating with HASC leadership and members.

*For the purpose of these bylaws, the term health care organization includes hospitals, skilled nursing facilities, extended care facilities, public health care agencies, homehealth agencies and student campus or prison infirmaries or other organizations as approved by HASC Board of Directors' Resolution.

The Nursing Leadership Council (NLC-HASC) is organized exclusively for charitable, scientific and educational purposes. It shall be conducted so that no part of its income or earnings will inure to the benefit* of any member, director, officer, or other individual.

*Upon dissolution, any assets of NLC remaining after payment of just debts shall belong to its successor, if any.

*In the event that there is no successor, remaining funds will be contributed to charitable organizations consistent with the purposes of NLC-HASC.

ARTICLE III
MEMBERSHIP

1.    

The membership of the Nursing Leadership Council shall be defined as:

 

a.    

Active

 

 

1)    

The Chief Nursing Executive, as defined by each organization, employed in a member organization of HASC.

 

 

2)    

Organizations may be any of the following:

 

 

 

a)   

An acute health care facility.

 

 

 

b)   

Regional/corporate health care organization which manages or consults in more than one (1) facility.

 

 

 

c)   

Managed care organization/group.

 

 

 

d)   

An independent out-patient/ambulatory/home care organization.

 

 

 

e)   

An independently licensed extended care/skilled nursing facility.

 

 

 

f)   

An Accredited Registered Nursing education program.

 

 

3)    

Active members may vote and hold office.

 

 

4)    

The active member must be a Registered Nurse currently licensed in California.

 

 

5)    

The active member pays dues on an annual basis.

 

b.    

Associate

 

 

1)    

The Associate category shall be Registered Nurses employed in a leadership position in a HASC member organization and Registered Nurses employed by an accredited RN education program.

 

 

2)    

May hold offices of Secretary or Treasurer in their area council.

 

 

3)    

May not hold the offices of President or President-Elect in their area council and may not be a Board liaison to the NLC from their area council.

 

c.    

Honorary

 

 

1)    

Honorary membership may be conferred on nurse executives who have demonstrated outstanding service.

 

 

2)    

Nominations may be made by the Area Council or a member of NLC-HASC Board and must be approved by the Nursing Leadership Council's Board of Directors.

 

 

3)    

Honorary members may attend all educational programs free of charge sponsored by NLC-HASC or their area council.

 

 

4)    

Honorary members may not vote or hold office.

 

 

5)    

Honorary members will not pay dues.

 

d.    

Professional Organizations - Ex-officio membership will be conferred upon nursing leaders during their service as Board representatives from ACNL California and AONE Region IX.

 

e.    

The Nursing Leadership Council's Board of Directors will review applicants who do not meet the above categories. Determination will be made by the Nursing Leadership Council Board on whether to allow applicant membership.

 

f.    

Members who no longer qualify for membership, such as a change of position, may remain at their current membership status until the end of their membership year.
